САЖЕТАК / ABSTRACT:

Over the past years, the global corporate landscape has come under mounting pressure under the weight of growing demands for self-regulation and integrity, with significant implications for the criminal liabili- ty risks faced by senior executives. The traditional paradigm of liability based solely on one’s own acts has been gradually losing ground to the expansion of duties of supervision and oversight. In Brazil — though by no means exclusively—there is a growing tendency to view corporate executives as guarantors (Gar- antenpflicht eines Betriebsvorgesetzten) responsible for averting the risks inherent to corporate activity. Such executives are deemed to bear a duty to monitor and prevent these occurrences, subject to the risk of criminal liability in the form of a commission by omission. This form of liability, however, acquires an added layer of complexity when the unlawful act takes place outside the confines of the company itself and is carried out by third-party contractors. Drawing on a concrete case, the present essay seeks to examine the criminal liability risks associated with this very issue — namely, the potential criminal liability of corporate executives for omissions in relation to the conduct of third-party contractors— while also taking into account the influence of recent regulatory developments in international contexts
